Terms of Service

1. Introduction & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Last Loop GmbH, a company registered under Austrian law with registered office at Darwingasse 20/29, 1020 Vienna, Austria ("Last Loop", "we", "us").

By accessing or using Agentidoo, creating an account, or clicking "I agree", you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use Agentidoo.

We may update these Terms from time to time. Material changes will be communicated at least thirty (30) days in advance via email. Your continued use after changes take effect constitutes acceptance of the updated Terms.

2. Description of Service

Agentidoo is a Software-as-a-Service (SaaS) platform that provides AI agents for Odoo ERP systems. Our service includes:

• AI Chat Interface: Natural language chat that integrates directly with your Odoo instance
• Odoo Integration: Direct connection to your existing Odoo database via provided credentials
• Agent Capabilities: Create records, manage tickets, generate summaries, schedule tasks
• Memory & Context: Persistent conversation history and business context
• Credit-based Usage: Pay-per-use pricing based on agent interactions

3. Eligibility & Account

You must be at least 18 years old to use Agentidoo. You are responsible for maintaining the security of your account credentials and all activities that occur under your account.

If you are creating an account on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

4. Customer Data & Privacy

Your Data Ownership

You retain all rights to your data, including data in your Odoo database and conversations with Agentidoo agents. We do not claim ownership of your business data.

Odoo Database Access

Agentidoo accesses your Odoo database using credentials you provide (API keys, login details). We only access data necessary to fulfill your agent requests and do not store or backup your Odoo database.

What We Store

• Your account information (name, email, billing details)
• Conversation history with agents for context and memory
• Usage data for billing and service improvement

What We Don't Do

• We do not use your data to train AI models
• We do not share your data with third parties (except as legally required)
• We do not store copies of your Odoo database

Third-Party AI Processing

When you interact with agents, your prompts and context may be processed by third-party AI providers (OpenAI, Anthropic, etc.). These providers have their own data policies, and we recommend reviewing them.

5. AI Agent Disclaimers

Your Responsibility

You are responsible for:

• All actions taken by agents in your Odoo system
• Reviewing agent output before implementation
• Ensuring agents have appropriate permissions in your Odoo instance
• Backing up your data before allowing agents to make changes

High-Risk Use Prohibition

Do not rely on AI output for decisions that could result in harm, significant financial loss, or legal consequences without proper human review and verification.

6. Billing & Credits

Subscription Plans

Agentidoo offers the following plans:

• Free: €0/month, 25 credits included per month
• Pro: €39/month, 200 credits included, access to advanced models
• Business: €199/month, 5,100 credits included, priority support

Credits & Overage

Credits are consumed by agent interactions. Additional credits beyond your plan allocation cost €0.10 per credit. Unused credits do not roll over between billing periods.

Payment & Taxes

Subscription fees are billed monthly in advance. All prices are exclusive of applicable taxes (VAT). Payment is processed via Stripe.

Refunds

Prepaid subscription fees may be refunded for the unused portion if you cancel within 14 days, subject to consumer protection laws. Credits are generally non-refundable once consumed.

7. Acceptable Use

You may not use Agentidoo to:

• Violate any applicable laws or regulations
• Infringe on third-party rights or intellectual property
• Access other customers' data or attempt to breach security
• Generate spam, malware, or other harmful content
• Abuse or overload our systems
• Use agents for illegal activities or to harm others

Violation of this policy may result in account suspension or termination.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Agentidoo is provided "as is" without warranties of any kind
• We are not liable for data loss, business interruption, or consequential damages
• Our total liability is limited to the amount you paid us in the 12 months preceding the claim
• We are not responsible for issues with your Odoo instance or third-party AI providers

Some jurisdictions do not allow limitation of liability for consumer contracts, so these limitations may not apply to you.

9. Termination

By You

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period.

By Us

We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or fail to pay fees when due. We'll provide reasonable notice unless immediate action is required for security or legal reasons.

Effect of Termination

Upon termination, your access to Agentidoo will cease. We will retain your conversation history for 30 days to allow for data export, after which it will be deleted.

10. Governing Law

These Terms are governed by the laws of Austria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Austria, except where consumer protection laws provide otherwise.

For EU consumers, you may also file complaints with your local consumer protection authorities or use the EU's Online Dispute Resolution platform.
